Catalyst advised the shareholders of Celerant Consulting on its sale to US based Hitachi Consulting, a subsidiary of Japanese based global giant, Hitachi Ltd.
Celerant Consulting is a leading global business operations consultancy, with offices throughout the Americas, Europe and the Middle East, and a global client base that spans 57 countries. Celerant has vast expertise across the chemical, consumer, energy, industrial, life sciences, metals and mining sectors which will provide Hitachi Consulting with a deeper level of industry-specific and associated process expertise. Hitachi Consulting is a leading provider of IT consulting and management consulting solutions and services and has operations throughout North America, Europe, the Middle East and Asia. The acquisition of Celerant marks a significant step in the growth strategy of Hitachi Consulting and strengthens their position as a global leader in the space.
What difference did we make?
Catalyst maintained a close working relationship with the shareholders of Celerant since advising on the MBO, which was backed by Caledonia Investments plc, in 2006. Helping the shareholders shape the strategy of the business during this time allowed us an intimate knowledge of both the operations of the business as well as understanding the objectives of the shareholders regarding exit strategy.
Having ensured that the business was ready for the scrutiny of due diligence we ran a tight, focussed process to agree heads of terms with Hitachi in early October 2012. Once an agreement had been reached we project managed the deal to a successful completion within 3 months. As a result of our preparation process, there was no delay in the agreed timeline and no erosion of value.
Catalyst successfully delivered a strategic price for the shareholders of Celerant that represented a double digit multiple on the historic profitability of the Business. This valuation was delivered without the need to share confidential information with any other trade buyers.
