Vision Security Group (VSG)
Catalyst advised the shareholders of Vision Security Group, which included Lloyds Development Capital and the management team, on its sale to Compass Group plc, the FTSE 100 listed business for £64 million.
Northampton based VSG offers complete security solutions that encompass manned guarding, electronic security systems, remote monitoring, training, background screening and a range of other support services. Formed by Bill Muskin in 2001 the business has consistently grown year on year, with LDC investing in exchange for a minority stake in 2007. Turnover has increased by over 50% to £140 million over the last three years, and employee numbers have risen from 4,000 to over 6,000.
Compass Group plc, a quoted FM provider has acquired VSG to bolster its own security business and to exploit the significant customer opportunities that exist.
What difference did we make?
Catalyst was asked by shareholders to manage a targeted sale process for VSG to a shortlist of potential buyers, with the intention of keeping the deal as confidential as possible within the market. In addition, the shareholders had certain views on the type of buyer they wanted to sell to as they were passionate about both their internal culture and the level of customer service they provide.
We helped the shareholders prepare the business for sale, produced sales literature bespoke to each of the potential buyers and managed all contact with the shortlist of buyers. As a result of our preparatory work, the deal completed within two months of the first meeting with Compass thereby ensuring that the management team were not distracted as a result of the sale process.
Given VSG’s strong position and excellent reputation within the UK security market with excellent, long term, blue chip customers, the business attracted significant interest from both financial and trade acquirers here in the UK and overseas. The shareholders ultimately chose a proposal from the Compass Group which provided both a strategic price for the business and a clear post acquisition plan as to how VSG could grow as part of the Compass Group.
